1. Introduction & Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you (whether personally or on behalf of an entity) ("User", "you", or "your") and Gophur Ltd ("Gophur", "we", "us", or "our"), concerning your access to and use of the Gophur mobile application, website, and associated job management and payment processing services (collectively, the "Services").

By creating an account, accessing, or using the Services, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree to these Terms, you must immediately cease using the Services.

2. Business Use & Eligibility

The Services are intended strictly for commercial and business use by sole traders, independent contractors, and trade businesses operating within the United Kingdom. By registering for an account, you represent and warrant that:

1. 1.You are at least 18 years of age and possess the legal capacity to enter into a binding contract.
2. 2.You are carrying on a genuine business or trade under the laws of England, Wales, Scotland, or Northern Ireland.
3. 3.You have the legal capacity and authority to enter into a binding contract.

3. Account Registration & Security

To access the Services, you must register for an account by providing accurate, complete, and current information. You are solely responsible for:

• •Maintaining the confidentiality of your account login credentials.
• •All activities, transactions, and instructions initiated through your account.
• •Promptly notifying Gophur at support@gophurapp.com of any unauthorised access or breach of security.

Gophur reserves the right to suspend or terminate accounts containing false, misleading, or fraudulent information.

4. Subscriptions, Fees, & Billing

• •Subscription Tiers: Access to Gophur software features is provided on a recurring monthly subscription basis ("Standard" or "Pro" tier) at the rates published on our website or app.
• •Recurring Payments: Subscriptions are billed automatically in advance every 30 days via your designated payment method.
• •Cancellation: You may cancel at any time via account settings. Cancellation takes effect at the end of the current billing cycle. No refunds or partial credits are provided for unused periods, subject to applicable UK statutory consumer rights.
• •Price Changes: We reserve the right to modify subscription pricing by providing at least 30 days' advance notice via email or in-app notification.

5. Payment Processing Services (Stripe Connect)

• •Third-Party Processor: Payment processing is provided by Stripe Payments UK Ltd ("Stripe") via Stripe Connect and is subject to the Stripe Connected Account Agreement, which includes the Stripe Terms of Service (collectively, the "Stripe Services Agreement").
• •Authorization: By accepting these Terms or continuing to operate on Gophur, you agree to be bound by the Stripe Services Agreement. You grant Gophur authorisation to receive transaction details and facilitate payout transfers to your linked UK bank account via Stripe.
• •Transaction Fees: Gophur facilitates collection of transaction processing fees on completed payment links. Applicable percentages and flat rates are deducted automatically prior to payout settlement.
• •Payouts & Delays: Deposit timing (typically 1–2 working days) is managed by Stripe and your bank. Gophur is not liable for payout delays caused by banking downtime, compliance reviews, or incorrect bank details provided by you.
• •Chargebacks & Disputes: You remain solely responsible for any chargebacks, disputes, refunds, or payment failures initiated by your customers. Gophur holds no liability for uncollected funds owed to you by your end clients.

6. Acceptable Use & Prohibited Activities

You agree not to misuse the Services. Prohibited activities include, but are not limited to:

• •Using Gophur for fraudulent, illegal, or deceptive commercial activities.
• •Processing transactions for illegal goods, prohibited services, or cash advances.
• •Attempting to reverse engineer, decompile, or copy any software associated with Gophur.
• •Transmitting viruses, malware, or spam through our messaging and payment link channels.
• •Interfering with or disrupting the integrity or performance of the app infrastructure.

Violation of these rules will result in immediate account termination without refund and may be reported to law enforcement or financial regulators.

7. Intellectual Property Rights

All intellectual property rights in the Gophur app, website, branding, design assets, trademarks, and code are owned exclusively by Gophur Ltd. You are granted a limited, non-exclusive, non-transferable, revocable licence to use the Services solely for your internal business operations in accordance with these Terms.

8. Limitation of Liability

To the maximum extent permitted by English law:

1. 1.Gophur provides the Services on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied.
2. 2.Gophur will not be liable for any indirect, incidental, consequential, or economic losses (including loss of profits, revenue, business, or data) arising from your use of the app.
3. 3.Our total aggregate liability for any claims arising out of these Terms or use of the Services shall not exceed the total subscription fees paid by you to Gophur in the 12 months preceding the event giving rise to the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

9. Indemnification

You agree to indemnify, defend, and hold harmless Gophur Ltd, its officers, directors, and employees from and against any third-party claims, damages, losses, or legal costs arising out of your breach of these Terms, your business activities, or disputes between you and your end customers.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
